Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Gradient BioResearch, a multi-area scientific research platform operated by Gradient Biotech LLC (“Gradient Biotech,” “we,” “us,” or “our”). By accessing or using the service, you agree to these Terms.
1. Research use only
Gradient Biotech is intended for scientific research, exploratory analysis, and translational research workflows. It is not a regulated medical device and must not be used for clinical diagnosis, treatment decisions, or other purposes that require regulatory clearance unless you independently validate outputs and comply with applicable law.
AI-assisted interpretations and automated pipeline outputs are provided for research support only. You are responsible for verifying results before relying on them in any publication, protocol, or downstream workflow.
2. Accounts and organizations
You may need an account to use certain features. You agree to provide accurate account information and to keep your credentials secure. You are responsible for activity that occurs under your account or within organizations you administer.
If you use the service on behalf of an institution, company, or other organization, you represent that you have authority to bind that organization to these Terms.
3. Your data and content
You retain ownership of research data, datasets, slides, recordings, and other materials you upload or create in the service (“Your Content”). You grant Gradient Biotech a limited license to host, process, transmit, and display Your Content solely to operate, secure, and improve the service and to run analysis jobs you request.
You represent that you have the rights and permissions needed to upload and process Your Content, including any human subjects, patient, or proprietary data. You must not upload content that violates law, third-party rights, or applicable research ethics requirements.
4. Acceptable use
You agree not to:
- use the service for unlawful, harmful, or fraudulent purposes;
- attempt to gain unauthorized access to systems, accounts, or data;
- interfere with or disrupt the service, including by introducing malware or abusive automation;
- reverse engineer or attempt to extract source code except where permitted by law;
- misrepresent automated outputs as expert clinical judgment or validated diagnostic conclusions.
5. Service availability and changes
We may modify, suspend, or discontinue features of the service at any time. We strive to maintain reliable operation but do not guarantee uninterrupted availability, error-free computation, or preservation of every artifact indefinitely. You are responsible for maintaining backups of important research outputs where your workflow requires them.
6. Intellectual property
Gradient Biotech, including its software, branding, documentation, and underlying platform, is owned by Gradient Biotech or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you ownership of the service or our proprietary materials.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRADIENT BIORESEARCH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF RESEARCH OUTPUTS.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRADIENT BIORESEARCH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, RESEARCH RESULTS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless Gradient Biotech from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the service, or your violation of these Terms or applicable law.
10. Termination
We may suspend or terminate access to the service if you violate these Terms or if continued provision of the service creates legal, security, or operational risk. You may stop using the service at any time. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes may also be communicated through the service. Continued use after changes become effective constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory local law applies.
